General Purpose:
Assist the general counsel in executing and providing legal and regulatory/compliance strategies and services for the consolidated corporation. Safeguard the business and assets of the consolidated corporation by minimizing exposure to legal issues, facilitating achievement of business unit objectives and controlling compliance costs. Services are coordinated with business units to accomplish world-class delivery of the consolidated company's goods and services in a cost effective manner.
Essential Functions: Develop and demonstrate requisite knowledge and experience by acting independently in most legal areas, with occasional guidance from general counsel. Apply an in depth knowledge of Herman Miller's business practices, operational procedures, organization and culture to assigned legal matters. Negotiate and draft a wide range of commercial agreements, including strategic sourcing agreements, dealer agreements, and license agreements. Represent the company in performing legal transactions and participate in major legal actions as required. Prepare and review legal documents prior to execution to accurately express company intent. Assist on various aspects of merger and acquisition transactions including overall coordination, due diligence and documentation. Counsel and review on SEC filings, particularly related to Executive Compensation matters; advise and support internal teams on executive compensation plans and agreements. Actively manage, as needed, outside legal counsel obtained by Herman Miller. Studies proposed and existing legislation to keep informed of changes that may impact the company. Anticipate and guard against legal risks involving the organization. Establish a positive working relationship with the leaders of all vertical markets and all shared services groups. Performs additional responsibilities as requested to achieve business objectives.
Minimum Requirements: Bachelor's degree and Juris Doctor. Advanced degree in Business Administration, Law or equivalent experience in related field preferred. License to practice law with 7 - 10 years in the practice of law. Extensive expertise in retail or consumer business. Demonstrated level of expertise and interest in a broad range of legal areas. Experience with counseling on and drafting executive compensation plans and agreements; including experience with public company employee benefits matters. Experience with SEC periodic filings. Strong interpersonal, consulting and problem-solving skills are essential. Demonstrated ability to influence litigation and business strategy, including the allocation of resources within the legal services department. Ability to be viewed as a value added business member by all business leads and their work teams and be acknowledged and accepted as a subject matter leader. Demonstrated project management and leadership skills in managing cross functional teams. Demonstrated ability to work with and manage highly confidential information. Skilled in investigation and negotiation techniques. Demonstrated leadership competence as defined in Herman Miller's Leadership Skills and Abilities. Ability to effectively use office automation/communication software and tools currently being used in the HMI office environment. The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
